These Terms & Conditions ("Terms") govern your use of RouteCalc.eu (the "Service") operated by Two Black Sheep ("we," "our," or "us"). By using our Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using RouteCalc, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you do not agree, do not use the Service.

2. Description of Service

RouteCalc is a web-based application that calculates transport costs for European routes, including:

  • Bulk route calculation from Excel files
  • Toll cost estimation by country
  • Fuel cost calculation
  • Route optimization (fastest/cheapest paths)
  • Route synergy matching

The Service is provided on a prepaid basis: you purchase "route credits" to perform calculations.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately at contact@routecalc.eu if you suspect unauthorized access.

4. Excel File Uploads & Data Processing

4.1 File Uploads

You may upload Excel files containing route origins and destinations (postal codes, city names) for calculation purposes.

4.2 Your Grant of Rights

By uploading files, you grant us the right to:

  • Access and process your Excel files
  • Extract postal codes and route information
  • Use third-party services to calculate routes
  • Store calculation results in our database
  • Generate and deliver result files to you

We will ONLY use your uploaded data to provide the Service. We do not sell, share, or use your route data for any other purpose (see Privacy Policy for details).

4.3 Data Retention

  • Uploaded Excel files: Automatically deleted after 90 days
  • Calculation results: Stored for 12 months or until account deletion

4.4 Your Responsibilities

You agree NOT to upload:

  • Illegal, harmful, or malicious content
  • Viruses, malware, or executable code
  • Content that violates third-party rights
  • Excessively large files (> 50MB per file)

5. Pricing & Payment

5.1 Route Credits

The Service operates on a prepaid credit system. One "route credit" allows you to calculate one route (origin to destination).

5.2 Subscription Plans

The Service is offered on a monthly subscription basis. Current plans:

  • Free Trial: 20 route credits (one-time, per account, no credit card required)
  • Start: 80 credits/month at €14.99/month (or €158.29/year)
  • Business: 500 credits/month at €69.99/month (or €739.09/year)
  • Professional: 1,100 credits/month at €114.99/month (or €1,214.29/year)

Additional route credits can be purchased at any time and are added to your balance immediately. Prices are subject to change with 30 days' notice.

5.3 Payment Processing

Payments are processed securely via Stripe. We do not store your credit card details. By making a purchase, you agree to Stripe's Terms of Service.

5.4 VAT & Taxes

Prices exclude VAT. VAT will be added at checkout based on your location and VAT ID status. You are responsible for any other applicable taxes in your jurisdiction.

5.5 Credit Validity

All route credits are valid for 12 months from the date of purchase. Unused credits expire after 12 months and are non-refundable.

5.6 No Refunds

All purchases are final and non-refundable except where required by law. We provide a free trial (20 routes) so you can test the Service before purchasing.

If you believe you were charged in error, contact us at contact@routecalc.eu within 14 days.

6. Acceptable Use

6.1 Permitted Use

You may use the Service for:

  • Calculating transport costs for your business or personal use
  • Exporting and analyzing calculation results
  • Sharing results within your organization

6.2 Prohibited Use

You may NOT:

  • Resell or redistribute access to the Service
  • Use automated scripts or bots to abuse the Service
  • Attempt to reverse-engineer, decompile, or hack the Service
  • Overload our servers with excessive requests
  • Use the Service for illegal activities
  • Share your account credentials with others

Violation of these terms may result in immediate account suspension or termination without refund.

7. Intellectual Property

7.1 Our IP

All content, features, functionality, and intellectual property of the Service (including software, algorithms, design, trademarks, and logos) are owned by Two Black Sheep and protected by copyright, trademark, and other laws.

7.2 Your IP

You retain all rights to the data you upload (Excel files, route information). We do not claim ownership of your data. Our right to process your data is limited to providing the Service as described in Section 4.

8. Accuracy & Liability

8.1 Best Effort Basis

RouteCalc provides route cost calculations on a "best effort" basis. While we strive for accuracy, we cannot guarantee that all calculations are 100% accurate due to factors beyond our control:

  • Toll prices change frequently
  • Fuel prices fluctuate
  • Road conditions and closures
  • Third-party service limitations
  • Postal code inaccuracies or ambiguities

8.2 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWO BLACK SHEEP SHALL NOT BE LIABLE FOR:

  • Inaccurate calculations or cost estimates
  • Lost profits or business opportunities
  • Indirect, incidental, or consequential damages
  • Damages exceeding the amount you paid for the Service in the past 12 months

You agree to use calculation results as estimates only. Always verify costs with official sources (toll operators, fuel stations) before making business decisions.

8.4 Your Responsibility

You are solely responsible for:

  • Verifying the accuracy of calculation results
  • Using results appropriately for your business
  • Complying with transport regulations in your jurisdiction

9. Service Availability

9.1 Uptime

We aim for 99% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Server issues
  • Third-party service outages
  • Force majeure events

9.2 No Compensation

We do not provide refunds or compensation for service interruptions, except where required by law.

10. Account Termination

10.1 Termination by You

You may delete your account anytime via account settings. Upon deletion:

  • Your account and data will be permanently deleted within 30 days
  • Unused route credits are forfeited (no refunds)
  • Payment records are retained for 7 years (tax law requirement)

10.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Abuse the Service
  • Engage in fraudulent activity
  • Fail to pay for services

Termination for cause forfeits all unused credits without refund.

11. Third-Party Services

The Service relies on third-party providers:

  • Clerk: Authentication
  • Stripe: Payment processing

We are not responsible for third-party outages, errors, or policy changes. Their Terms of Service apply to their respective services.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes constitutes acceptance.

For significant changes, we will notify you via email 30 days in advance.

13. Governing Law

These Terms are governed by the laws of Romania (or your local EU jurisdiction if different). Any disputes will be resolved in the courts of Romania.

15. Severability
